Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of www.seylone.com (the “Site”), operated by Seylone Inc., a New York corporation, together with its divisions Seylone Construction Group and Seylone Earth & Civil Group (collectively, “Seylone,” “Seylone Inc.,” the “Company,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms and the Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site. If you are accessing or using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1Acceptance; Eligibility

Use of the Site is offered subject to acceptance of these Terms. The Site is intended for use by individuals who are at least eighteen (18) years of age and capable of forming a legally binding contract under applicable law. By using the Site, you represent and warrant that you meet these eligibility requirements.

2Informational Purposes Only; No Advice; No Reliance

The Site is provided for general informational and business-communication purposes. Content on the Site does not constitute engineering, construction, legal, financial, accounting, tax, safety, or professional advice of any kind. Nothing on the Site creates a contract, proposal, offer, solicitation, bid, warranty, representation, guarantee, or binding commitment by Seylone Inc., Seylone Construction Group, Seylone Earth & Civil Group, or any of their respective affiliates. Project scope, pricing, schedule, and performance obligations are governed solely by executed written agreements between Seylone and its counterparties. You should not act or refrain from acting on the basis of content on the Site without obtaining advice from qualified professionals. Case studies, project descriptions, capability statements, certifications, and similar materials are illustrative only and do not establish terms for any particular engagement.

3No Agency, Fiduciary, or Professional Relationship

Access to or use of the Site does not create any agency, partnership, joint-venture, fiduciary, employment, consultant, or professional relationship between you and Seylone. No such relationship shall arise absent a fully executed written agreement signed by an authorized officer of Seylone.

4Accuracy of Information; No Guarantees

Seylone makes reasonable efforts to provide accurate and current information on the Site but does not warrant that Site content is complete, current, or free from error. Seylone reserves the right to modify, supplement, discontinue, or remove Site content at any time, without notice. Seylone disclaims any obligation to update Site content. Typographical errors, omissions, and outdated information may be present, and Seylone shall not be liable for any reliance placed on such content.

5Intellectual Property Rights

5.1Ownership

All content on the Site — including text, graphics, logos, photographs, videos, project descriptions, layouts, compilations, code, and design — is owned by Seylone, its licensors, or content providers, and is protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws. All rights not expressly granted herein are reserved by Seylone.

5.2Trademarks

“Seylone,” “Seylone Inc.,” “Seylone Construction Group,” “Seylone Earth & Civil Group,” and all associated names, logos, marks, and trade dress are trademarks or service marks of Seylone. You may not use any Seylone mark without Seylone’s prior written consent, and you may not use any mark in a manner likely to cause confusion or that disparages Seylone.

5.3Limited License to Users

Subject to these Terms, Seylone grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view Site content for personal, non-commercial reference purposes only. Any other reproduction, distribution, modification, republication, derivative use, framing, or public display is prohibited without Seylone’s prior written consent.

5.4Feedback

If you submit suggestions, ideas, or feedback regarding the Site or Seylone’s services, you hereby grant Seylone a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such feedback for any purpose, without obligation or compensation to you.

6Prohibited Uses

You agree not to:

  • Use the Site for any unlawful, infringing, fraudulent, or tortious purpose;
  • Interfere with the Site’s security, operation, availability, or other users’ access;
  • Access or use the Site through automated means, scrapers, crawlers, or bots without Seylone’s express written authorization;
  • Submit false, misleading, or infringing information;
  • Misrepresent your affiliation with any person, organization, or governmental entity;
  • Attempt to reverse-engineer, decompile, probe, or extract non-public data, source code, or systems associated with the Site;
  • Use any Seylone mark, name, or content in a manner that suggests endorsement, sponsorship, affiliation, or partnership;
  • Circumvent or disable any security or access-control feature of the Site;
  • Collect or harvest information about other users or visitors; or
  • Use the Site in any manner that could damage, disable, overburden, or impair Seylone’s systems or infrastructure.

7User Submissions; Non-Confidentiality

Any information, inquiry, resume, document, or material you submit through the Site, or otherwise transmit to Seylone outside of an executed non-disclosure agreement, is deemed non-confidential and non-proprietary. You represent and warrant that you have all necessary rights to submit such material and that the material does not infringe or misappropriate the rights of any third party. You grant Seylone a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, store, and retain such submissions for Seylone’s business purposes, consistent with the Privacy Policy.

8Electronic Communications

By submitting information through the Site or otherwise communicating with Seylone electronically, you consent to receive electronic communications from Seylone, including email, system-generated notices, and text messages where applicable. You agree that all notices, disclosures, agreements, and other communications that Seylone provides to you electronically satisfy any legal requirement that such communications be in writing.

9Third-Party Content, Links, and Services

The Site may contain links to, or integrations with, third-party websites, content, or services. Seylone does not endorse, control, monitor, or warrant any third-party content and is not responsible for any damages arising from your use of such content. Third-party websites and services are governed by their own terms and privacy policies, which you should review before use.

10Monitoring; Right to Refuse or Modify

Seylone has no obligation to monitor the Site but reserves the right to do so. Seylone may, at its sole discretion and without notice or liability, modify, suspend, discontinue, or restrict access to the Site or any portion thereof, remove content, and refuse service to any user for any reason consistent with applicable law.

11Copyright Infringement; DMCA Notification

Seylone respects the intellectual-property rights of others. If you believe that content on the Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to the contact below. Notices should include the information required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work claimed to have been infringed, identification of the allegedly infringing material, your contact information, a statement of good-faith belief, a statement made under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder, and your physical or electronic signature.

12Disclaimer of Warranties

The site and all content, materials, and services made available through the site are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Seylone expressly disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, reliability, availability, quiet enjoyment, and those arising from course of dealing or usage of trade. Seylone does not warrant that the site will be error-free, secure, free of viruses or harmful components, or continuously available, nor that any defect or error will be corrected, nor that content will be current, accurate, or suitable for any particular purpose.

13Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Seylone Inc., Seylone Construction Group, Seylone Earth & Civil Group, or their respective officers, directors, shareholders, members, employees, agents, affiliates, subcontractors, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, exemplary, reliance, or multiple damages, or for lost profits, lost revenue, lost data, lost business opportunity, business interruption, or loss of goodwill, arising from or related to your access to or use of (or inability to access or use) the site, any content, or any services, regardless of the form of action and whether in contract, tort (including negligence), strict liability, warranty, or otherwise, even if Seylone has been advised of the possibility of such damages. In no event shall Seylone’s total aggregate liability arising from or related to the site, these terms, or their subject matter exceed one hundred U.S. dollars ($100.00). The foregoing limitations apply notwithstanding any failure of essential purpose of any limited remedy.

14Indemnification and Release

You agree to defend, indemnify, and hold harmless Seylone Inc., Seylone Construction Group, Seylone Earth & Civil Group, and their respective officers, directors, shareholders, members, employees, agents, affiliates, and subcontractors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, judgments, penalties, fines, interest, costs, and expenses (including reasonable attorneys’ fees and litigation costs) arising from or related to: (a) your access to or use of the Site; (b) your violation of these Terms or any applicable law; (c) your submission of content or information; (d) your infringement or misappropriation of any third-party right; or (e) any dispute between you and a third party relating to the Site. You hereby release the Indemnified Parties from all claims, demands, and damages of every kind arising out of or relating to any dispute with a third party concerning the Site.

15Governing Law; Jurisdiction; Venue

These Terms, and any dispute arising from or related to these Terms or the Site, are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of any arbitration provision. Any action arising from or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and the parties irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

16Equitable Relief

Seylone may seek injunctive, declaratory, or other equitable relief in any court of competent jurisdiction, without the requirement of posting bond or other security, to protect its intellectual property, confidential information, or business interests, notwithstanding any provision herein regarding dispute resolution or venue.

17Waiver of Jury Trial; Class-Action Waiver

To the fullest extent permitted by law, each party knowingly, voluntarily, and intentionally waives any right to a trial by jury in any action or proceeding arising from or related to these Terms or the Site. Claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, collective, mass, or representative proceeding. The parties waive any right to participate in or recover through any such proceeding.

18Statute of Limitations

Any claim arising from or related to the Site or these Terms must be filed within one (1) year after the claim accrued; otherwise, such claim is permanently barred, to the fullest extent permitted by applicable law.

19Force Majeure

Seylone shall not be liable for any failure or delay in performance arising from or caused by conditions beyond its reasonable control, including acts of God, weather, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil disturbance, labor disputes, supplier or subcontractor delays, government action, failure of third-party services or utilities, internet disruptions, or other similar events.

20Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without Seylone’s prior written consent. Any attempted assignment in violation of this provision shall be void. Seylone may assign these Terms or any rights hereunder, in whole or in part, without restriction.

21Severability; Construction; No Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable or, if modification is not possible, severed from these Terms, with the remaining provisions continuing in full force and effect. The headings used in these Terms are for convenience only and shall not affect interpretation. No failure or delay by Seylone to exercise any right or remedy shall constitute a waiver thereof, and no single or partial exercise shall preclude any further exercise.

22Relationship of Parties; No Third-Party Beneficiaries

The parties are independent contracting parties. Nothing in these Terms shall be construed to create any agency, partnership, joint-venture, or employment relationship. Except as expressly set forth herein, these Terms do not confer any rights or remedies on any third party.

23Entire Agreement; Survival

These Terms, together with the Privacy Policy and any other agreement expressly incorporated herein, constitute the entire agreement between you and Seylone concerning the Site and supersede all prior or contemporaneous oral or written communications and agreements on the subject. Provisions that by their nature should survive termination — including intellectual-property rights, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and these miscellaneous provisions — shall survive.

24Modifications; Electronic Signatures

Seylone may modify these Terms at any time by posting revised Terms. Continued use of the Site following posting constitutes acceptance of the revised Terms. Material changes will be reflected by an updated “Effective” year. The parties agree that an electronic signature, click-through assent, or continued use shall have the same legal effect as a handwritten signature, to the fullest extent permitted by applicable law.

25Notices

Notices to Seylone shall be in writing and delivered to the address set forth below. Seylone may provide notices to you through the Site, via email (to any address you have provided), or by any other reasonable means. Notices are deemed given upon delivery or posting.
